Terms of Service

By accessing or using SurgeScribe, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

To use SurgeScribe, you must create an account. By registering, you agree that:

• You are at least 18 years of age. SurgeScribe is not intended for users under 18.
• All information you provide during registration is accurate, current, and complete.
• You will keep your account credentials confidential and are solely responsible for all activity that occurs under your account.
• You will notify us immediately at contact@surgescribe.com if you suspect unauthorized access to your account.
• You will not create more than one account per person or entity, or create an account on behalf of someone else without their explicit permission.

SurgeScribe operates on a credit-based model. There are no recurring subscription fees. You purchase credits and use them to generate content, images, and other AI-powered outputs.

Credit policy

• Credits are purchased in packs and added instantly to your account balance upon successful payment.
• Credits never expire. They remain in your account until used, regardless of account inactivity.
• No refunds on used credits. Once credits have been consumed to generate content or perform an AI action, they cannot be refunded.
• Unused credits from a terminated or deleted account are forfeited and are not eligible for refund.

Payment processing

All payments are processed by Dodo Payments, our third-party payment processor. SurgeScribe does not store your payment card details. By making a purchase, you agree to Dodo Payments' terms and policies.

Refund policy

If you experience a technical issue that prevents credits from being delivered to your account after a successful payment, contact us within 14 days at contact@surgescribe.com and we will investigate and make it right.

You agree to use SurgeScribe only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Generate, publish, or distribute spam, unsolicited messages, or bulk commercial email
• Create content that is illegal, defamatory, harassing, abusive, obscene, or fraudulent
• Infringe upon the intellectual property rights of any third party
• Generate misleading or deceptive content intended to manipulate search engines in a way that violates their terms of service
• Attempt to bypass, abuse, or exploit the AI generation system for purposes other than legitimate content creation
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use automated means to access or scrape the Service without our written permission
• Engage in any activity that disrupts or interferes with the Service or its servers

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without refund.

You own your content. Any content you create using SurgeScribe — including articles, images, content calendars, brand settings, and other outputs — belongs to you.

• SurgeScribe does not claim any ownership rights over content you generate using the Service.
• You grant SurgeScribe a limited, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing the Service to you.
• We will not use your content to train AI models, share it with other users, or disclose it to third parties except as required to operate the platform (e.g., sending prompts to AI providers).

You are responsible for ensuring that any content you input into SurgeScribe (e.g., brand descriptions, competitor URLs, custom instructions) does not violate the rights of any third party.

SurgeScribe uses large language models and AI image generation to produce content on your behalf. You acknowledge and agree that:

• You are responsible for reviewing all AI-generated content before publishing it. AI outputs may contain inaccuracies, outdated information, or errors.
• SurgeScribe makes no guarantee that AI-generated content is accurate, factually correct, complete, or suitable for any particular purpose.
• Publishing AI-generated content to your website is your decision and your responsibility. SurgeScribe is not liable for any consequences arising from content you choose to publish.
• AI-generated content may occasionally resemble content produced for other users. We recommend reviewing and personalizing all generated content before publishing.

SurgeScribe lets you connect third-party platforms — including Facebook Pages, Instagram Business accounts, WordPress sites, and Shopify stores — so you can publish content directly. When you connect these platforms, you authorise SurgeScribe to take actions on your behalf using the OAuth tokens or API credentials you provide.

• You are responsible for ensuring that your use of each connected platform complies with that platform's own terms of service and content policies, including (where applicable) the Meta Platform Terms and Developer Policies, Instagram's Terms of Use, and the API usage rules of any other connected service.
• We use platform access only to perform the actions you trigger in the product — publishing or scheduling the posts you create, and reading the minimum metadata needed to do so. We do not sell, share, or use platform data for advertising or unrelated analytics.
• You can disconnect any integration at any time from the Integrations page. For Meta-connected accounts, removing SurgeScribe from your Facebook app settings triggers our deauthorization callback and the deletion of the associated tokens.
• Third-party platforms may rate-limit, reject, or remove content for reasons outside our control. SurgeScribe is not liable for content rejected, throttled, or removed by a connected platform.

SurgeScribe's platform is our intellectual property. The SurgeScribe name, logo, website design, software, algorithms, and all platform features are owned by SurgeScribe and protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the SurgeScribe platform, other than the limited right to use the Service as permitted by these Terms.

Your generated content is your intellectual property. Within the bounds of applicable law and AI provider terms, content you generate using SurgeScribe is yours to use, modify, publish, and monetize freely.

Termination by you

You may cancel your account at any time through your account settings or by emailing contact@surgescribe.com. Upon cancellation, your access to the Service will continue until the end of any active credit balance (which can still be used) or until you request immediate deletion.

Termination by us

We reserve the right to suspend or terminate your account immediately, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or your use of the Service poses a risk to others.

Effect of termination

• Upon account termination or deletion, all your data — including content, settings, and account information — will be permanently deleted within 30 days.
• Unused credits are forfeited upon account deletion and are not refundable.
• Provisions of these Terms that by their nature should survive termination will remain in effect.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, SurgeScribe disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, error-free, or free from harmful components
• That AI-generated content will be accurate, complete, or suitable for your needs
• That the Service will meet your specific business requirements or produce particular SEO outcomes

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SURGESCRIBE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, without limitation, damages for:

• Loss of profits, revenue, or data
• Business interruption or loss of business opportunity
• Loss of goodwill or reputation
• Any indirect or consequential losses arising from your use of, or inability to use, the Service

In jurisdictions where limitations on implied warranties or exclusion of incidental or consequential damages are not permitted, our liability will be limited to the maximum extent allowed by law.

In all cases, our total liability to you for any claim arising from or related to the Service shall not exceed the total amount you paid to SurgeScribe in the three months preceding the claim.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SurgeScribe is registered, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Service that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts in that jurisdiction.
